What is Companies House

Companies House is the UK Registration Agency for Limited Companies and Limited Liability Partnerships.

 

What Must be Filed

The following must be filed at Companies House:

  • Incorporation Paperwork when the company is incorporated
  • Changes to directors and, if appointed, company secretary details – eg appointments, resignations, change of name or address
  • Changes to share capital
  • Annual Accounts – in a summarised format so sensitive trading information isn’t disclosed – we normally file for you
  • Details of loans and mortgages on security
  • Insolvency Paperwork
  • Returns when a company is struck off or removed from the register – striking off is the informal process for closing a company down.
  • Confirmation Statement – see below
  • Register of Persons with Significant Control – see below

 

Register of Persons with Significant Control

The PSC register – Register of Persons with Significant Control – is a register of people who control the company.

It is a legal requirement that you keep this.

Your accountant is obliged to check it when signing off the annual accounts.

Confirmation Statement

All companies have to submit an annual Confirmation Statement (formerly Annual Return AR01) with details of directors, shareholders, etc.

This form does not contain accounting or tax information, and is normally dealt with by you rather than us, but we can assist with filing if you would like us to.
